Terms of Service

1. Scope and Acceptance

These Terms of Service govern access to and use of Anahid-Click websites, customer portals, hosted systems, software, professional services, managed services, support channels, digital deliverables, and related business offerings. By accessing, ordering, using, or continuing to use any Anahid-Click service, you agree to be bound by these terms.

Important Contract Priority Rule
If a signed proposal, order form, statement of work, master services agreement, service level agreement, or other negotiated contract applies to a specific engagement, that specific document will control to the extent of any direct conflict with these website terms.

2. Services and Commercial Relationship

Anahid-Click may provide a combination of consulting, implementation, software access, managed operations, infrastructure services, communications services, hosting, monitoring, support, maintenance, automation, integration work, and custom project delivery. The exact scope, performance targets, support levels, deliverables, timelines, and commercial terms may vary by customer, environment, and purchased package.

3. Accounts and Authorized Access

Some services require an account, user credentials, or environment-specific access. You are responsible for access granted under your organization or your name.

  • Maintain the confidentiality of usernames, passwords, keys, tokens, and other credentials.
  • Ensure that only authorized personnel access the services.
  • Provide accurate, current, and complete account and billing information.
  • Promptly notify Anahid-Click of suspected unauthorized access, credential compromise, or security incidents.

4. Orders, Changes, and Customer Dependencies

Projects and recurring services may depend on customer approvals, access, third-party licenses, infrastructure readiness, data quality, and timely communication. Delivery dates and performance commitments may reasonably shift when required inputs, approvals, or dependencies are delayed or withheld.

5. Fees, Invoicing, and Payment

Unless a separate signed agreement states otherwise, fees are charged according to the applicable proposal, plan, quotation, or invoice.

  • Invoices are payable by the due date stated on the invoice.
  • Taxes, duties, gateway charges, and third-party pass-through costs may be billed separately where applicable.
  • Late payment may result in service suspension, delayed delivery, or additional administrative charges where permitted by law.
  • Anahid-Click may require prepayment, deposits, staged billing, or credit review for certain projects or environments.

6. Customer Responsibilities

  • Use the services lawfully and in good faith.
  • Maintain any systems, devices, subscriptions, or third-party services under your control that are required for delivery.
  • Back up your own data unless backup services are expressly included in writing.
  • Review deliverables, configurations, invoices, and notices within a reasonable time.
  • Provide timely access to personnel, systems, and decision-makers needed for implementation or support.

7. Acceptable Use and Prohibited Conduct

You may not use the services in a manner that is unlawful, abusive, deceptive, harmful, or operationally disruptive.

  • No fraud, phishing, impersonation, malware distribution, harassment, or abusive behavior.
  • No unauthorized scanning, intrusion attempts, privilege escalation, or efforts to bypass security controls.
  • No use that overloads, degrades, or interferes with shared systems, networks, customer environments, or support operations.
  • No use of the services to store, transmit, publish, or facilitate unlawful content or unlawful conduct.

8. Intellectual Property and Deliverables

Unless otherwise agreed in writing, Anahid-Click retains ownership of its pre-existing methodologies, templates, software, documentation formats, automation assets, know-how, branding, and internal tools. Customer-specific deliverables created and fully paid for will be licensed or assigned only to the extent expressly stated in the applicable commercial document.

9. Third-Party Products and Integrations

Some solutions may depend on third-party software, cloud providers, connectivity providers, payment gateways, APIs, registrars, certificate authorities, hardware vendors, or platform ecosystems. Anahid-Click is not responsible for outages, pricing changes, policy changes, deprecations, or service failures caused solely by third-party providers.

10. Confidentiality and Data Handling

Each party must protect confidential business information disclosed by the other party and use it only for the performance or receipt of the services. Customer data handling is also subject to the applicable privacy notice, security terms, and any signed data processing agreement where required.

11. Availability, Support, and Change Management

Service availability, response times, maintenance windows, monitoring scope, escalation paths, and support hours may differ by package or contract. Anahid-Click may update, patch, replace, suspend, or modify service components when reasonably necessary for security, legal compliance, vendor changes, operational continuity, or product evolution.

12. Disclaimer of Warranties

Except to the extent expressly stated in a signed agreement, the services are provided on an as-is and as-available basis. Anahid-Click disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that services will be uninterrupted, error-free, or suitable for every specific customer objective.

13. Limitation of Liability

To the maximum extent permitted by law, Anahid-Click will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profit, loss of revenue, loss of use, loss of data, or business interruption. To the extent liability cannot be excluded, total liability arising out of or related to the services will be limited to the amounts actually paid to Anahid-Click for the specific affected service during the twelve months preceding the event giving rise to the claim, unless a different cap is expressly stated in a signed agreement.

14. Suspension and Termination

Anahid-Click may suspend or terminate access immediately where reasonably necessary for security, legal compliance, non-payment, abuse, fraud, operational protection, or material breach of these terms. Termination does not remove obligations that by their nature should survive termination, including payment obligations, confidentiality, intellectual property protections, disclaimers, and limitation of liability provisions.

These terms will be interpreted under the law specified in the applicable contract or, if no separate contract exists, the law of the jurisdiction from which the relevant Anahid-Click entity provides the service. Legal inquiries may be sent to legal@anahid.click.
